A business sale readiness checklist is not about making the business perfect. It is about finding the questions a buyer will ask and preparing clear answers before the process becomes stressful.
Work through the six dimensions below. If several items are missing, that does not mean the business cannot sell. It means you have useful work to do before a buyer starts judging the business for you.
Owner dependency
- Another person can explain daily operations.
- Key customers know someone besides the owner.
- Pricing and quoting are documented.
- Routine decisions do not all require the owner.
- The owner can take time away without the business stalling.
Financial clarity
- Three years of financial statements are organized.
- Business and personal expenses are separate.
- Add-backs are documented clearly.
- Revenue and margin trends are easy to explain.
- Tax returns and bank records can support the story.
Revenue stability
- Top customers and revenue concentration are documented.
- Repeat or recurring work is visible.
- Customer contracts or histories are organized.
- Sales sources are not entirely owner-driven.
- Recent revenue changes can be explained.
Operational transferability
- Core processes are written down.
- Software logins and vendor contacts are organized.
- Service or product delivery steps are clear.
- A new owner could understand how work flows.
- Important information is not trapped in memory.
Workforce stability
- Roles and responsibilities are clear.
- Key employees are identified.
- Compensation and employment arrangements are documented.
- The team can operate without constant owner direction.
- Any family or contractor dependencies are clear.
Legal and structure
- Entity documents are current.
- Licenses and permits are organized.
- Lease terms and assignment language are understood.
- Customer and vendor contracts are accessible.
- Insurance and ownership records are easy to find.
